Dematerialization
The Hamon shares are dematerialized since January 1, 2008. This means that the holders or bearers of physical shares have to convert them into dematerialized shares with a financial institution in order to participate to the General Assembly meetings or to get the payment of their dividend.
Stock options
The Board of Directors of Hamon has granted, in the framework of the authorized capital, (i) 19 900 options to certain employees in Belgium and Germany during the first half of 2008 and (ii) 5 500 options to certain employees in France during the second half of 2008. A total amount of 22 500 options has been accepted by the beneficiaries entitling them to suscribe to 22 550 new shares Hamon during specified periods of time between the years 2012 and 2015. The exercise price of the options amounts to EUR 33,58 for the Belgian and German beneficiaries and EUR 29,71 for the French beneficiaries.
